We do not request applicants to provide passwords, online banking login credentials, full payment-card information, or Social Insurance Numbers through our general applicant information form.

7. Regulatory Scope and Third-Party Services

Unless expressly stated otherwise in writing, Ocean Business Consulting Inc. is not a bank, lender, financial institution, mortgage brokerage, securities dealer, investment advisor, accounting firm, law firm, government agency, or government-authorized funding provider.

Ocean Business Consulting Inc. does not provide services that require a regulatory licence, registration, or authorization unless the Company has obtained the applicable licence, registration, or authorization or the relevant service is provided independently by an appropriately authorized professional or organization.

Where a requested service requires the involvement of a licensed, registered, or otherwise authorized professional or organization, an applicant or client may be referred to or required to engage an appropriate independent professional or organization.

8. Google Forms, Google Drive, Google Workspace, and Other Service Providers

We may use Google Forms, Google Sheets, Google Drive, Gmail, Google Workspace, website hosting providers, analytics services, communication systems, and other technology providers to collect, process, communicate, store, and manage personal information.

Information submitted through these services may be processed or stored using the service provider’s infrastructure and may be subject to the provider’s applicable terms, privacy practices, security measures, and data-processing arrangements.

We restrict access to applicant information and uploaded documents to authorized persons who require access for legitimate business purposes.

We do not intentionally make applicant records or uploaded documents publicly accessible.

Submission of an initial applicant information form does not by itself create a consulting engagement or require Ocean Business Consulting Inc. to accept an applicant as a client.

Our services may include:

We do not represent that we are endorsed, authorized, licensed, approved, or appointed by the Government of Canada, the Government of Ontario, any other government, government agency, funding program, lender, or financial institution unless such relationship is expressly stated in writing and can be independently verified.

Ocean Business Consulting Inc. does not provide services requiring a regulatory licence, registration, or authorization unless the Company has obtained the applicable licence, registration, or authorization or the relevant service is provided independently by an appropriately licensed, registered, or authorized professional or organization.

Our services are limited to business consulting, general funding opportunity research, preliminary information review, administrative support, document preparation assistance, application support, and related services within the scope permitted by applicable law.

Where a requested service requires the involvement of a licensed, registered, or otherwise authorized professional or organization, the applicant or client may be referred to or required to engage an appropriate independent professional or organization.

4. No Guarantee of Eligibility, Approval, or Funding

Submission of an applicant information form, completion of a preliminary assessment, identification of a potential funding opportunity, payment of consulting fees, preparation of documents, assistance with an application, or use of our services does not guarantee:

  • Eligibility for any grant, subsidy, loan, financing program, financial assistance, government program, or funding opportunity;
  • Approval of an application;
  • Receipt of funding;
  • Any particular funding amount;
  • Approval within any particular timeframe;
  • Continued availability of any program;
  • Acceptance of an application by any organization; or
  • Any specific business or financial outcome.

Eligibility requirements, application requirements, funding availability, approval decisions, processing times, and program administration are determined independently by the applicable government agency, program administrator, funding organization, lender, financial institution, or other third party.

5. Applicant and Client Responsibilities

Applicants and clients are responsible for:

  • Providing accurate, complete, authentic, and current information and documents;
  • Ensuring that submitted documents have not been fraudulently altered or misrepresented;
  • Informing us promptly of material changes that may affect an assessment, application, or engagement;
  • Reviewing information, documents, and applications before submission where applicant or client approval is required;
  • Providing requested information and documents within applicable deadlines;
  • Maintaining copies of important documents;
  • Reading and complying with the requirements of applicable programs and third parties;
  • Paying agreed fees when due;
  • Obtaining independent legal, tax, accounting, investment, financial, or other regulated professional advice where appropriate; and
  • Complying with applicable laws, contracts, and program requirements.

Ocean Business Consulting Inc. may rely on information and documents provided by applicants and clients unless otherwise agreed in writing.

6. Preliminary Assessments and Funding Opportunity Research

Any preliminary assessment, funding opportunity identification, program research, eligibility review, or similar service provided by Ocean Business Consulting Inc. is based on the information available at the time of review.

Program criteria, deadlines, funding availability, budgets, policies, and application requirements may change without notice.

A preliminary assessment or identification of a potential opportunity does not constitute confirmation of eligibility or approval.

Applicants and clients remain responsible for satisfying the final eligibility requirements and conditions established by the applicable program or organization.

7. Verification and Additional Information

We may request clarification, supporting documents, updated information, or reasonable verification where necessary to conduct an assessment or provide requested services.

We may decline, suspend, or terminate services where information or documents appear materially false, misleading, fraudulent, altered, incomplete, inconsistent, or unreliable.

Ocean Business Consulting Inc. is not obligated to independently verify every statement or document submitted by an applicant or client unless such verification is expressly included in a written service agreement.

8. Consent to Collection, Use, and Disclosure of Information

Personal information is handled in accordance with our Privacy Policy and applicable privacy requirements.

Where reasonably necessary to provide requested services and where authorized or otherwise permitted by law, applicants and clients may authorize Ocean Business Consulting Inc. to communicate with and disclose relevant information to:

Government agencies, program administrators, grant organizations, funding organizations, lenders, financial institutions, professional advisors, technology providers, and other third parties are independent entities.

  • Eligibility criteria;
  • Decisions;
  • Funding availability;
  • Processing times;
  • Policies;
  • Program changes;
  • Terms and conditions;
  • Security practices; or
  • Actions or omissions.

We are not responsible for decisions or actions independently made by third parties except to the extent that responsibility cannot lawfully be excluded or limited.

10. Fees and Payment

Fees for assessments, consulting services, business planning, research, document preparation assistance, application support, administrative services, or other services will be disclosed in the applicable service agreement, proposal, invoice, or written engagement terms.

Unless expressly stated otherwise in writing, fees paid to Ocean Business Consulting Inc. are compensation for professional consulting and administrative services.

Fees do not represent:

  • Payment for grant or funding approval;
  • Purchase of access to a government program;
  • Payment to a government agency or funding provider;
  • A guarantee of eligibility, approval, funding, or financing;
  • A guarantee of any particular business or financial outcome; or
  • Compensation for regulated services that Ocean Business Consulting Inc. is not authorized to provide.

Clients are responsible for reviewing and accepting applicable fees and payment terms before entering into a paid engagement.

11. Cancellation, Refunds, and Termination of Paid Services

Cancellation, refund, and termination terms applicable to paid services will be stated in the applicable service agreement, proposal, invoice terms, or other written engagement terms.

Unless otherwise required by law or expressly agreed in writing, submission of an initial applicant information form does not create an obligation for Ocean Business Consulting Inc. to provide paid services or for an applicant to purchase services.

12. No Legal, Tax, Accounting, Investment, Credit, or Regulated Financial Advice

Unless expressly provided through an appropriately qualified and authorized independent professional, Ocean Business Consulting Inc. does not provide legal, tax, accounting, securities, investment, mortgage brokerage, credit counselling, debt management, or other regulated financial advice or services.

General business consulting, financial information review, funding opportunity research, or administrative application support should not be relied upon as a substitute for independent professional advice where such advice is appropriate.

13. Electronic Communications and Documents

Applicants and clients consent to receiving communications related to inquiries, assessments, applications, consulting engagements, and requested services through the contact information they provide.

Electronic communications, online forms, and cloud-based document transmission may involve security and confidentiality risks.

Applicants and clients may not reproduce, distribute, sell, publish, license, or commercially exploit proprietary materials without authorization.

17. Limitation of Liability

To the extent permitted by applicable law, Ocean Business Consulting Inc. will not be liable for losses arising solely from:

  • An applicant’s or client’s failure to meet eligibility requirements, application requirements, program conditions, or deadlines;
  • False, inaccurate, incomplete, outdated, misleading, or fraudulent information provided by an applicant or client;
  • Decisions independently made by government agencies, program administrators, funding organizations, lenders, financial institutions, or other third parties;
  • Changes to funding programs, eligibility criteria, deadlines, budgets, funding amounts, policies, or availability;
  • Delays, outages, data loss, service interruptions, or failures caused by independent third-party technology providers beyond our reasonable control; or
  • An applicant’s or client’s failure to obtain independent professional advice where appropriate.

Nothing in these Terms & Conditions excludes or limits liability that cannot lawfully be excluded or limited.

18. Fraudulent Information, Misrepresentation, and Unlawful Conduct

Applicants and clients must not knowingly submit fraudulent documents, false information, material misrepresentations, or information belonging to another person without authorization.

Ocean Business Consulting Inc. may refuse, suspend, or terminate services where there are reasonable concerns regarding fraud, identity misuse, unlawful activity, misrepresentation, or abuse of our services.

Where required or permitted by applicable law, suspected unlawful activity may be reported to appropriate authorities.

19. Refusal, Suspension, or Termination of Services

We may refuse, suspend, or terminate services where reasonably necessary, including where:

  • Materially false, misleading, fraudulent, or altered information is provided;
  • Unlawful, deceptive, or unethical conduct is requested;
  • Required fees remain unpaid;
  • An applicant or client materially breaches an agreement;
  • Cooperation necessary to provide services is not provided;

  • The requested service falls outside the scope of services Ocean Business Consulting Inc. is permitted or willing to provide.

20. No Partnership, Agency, or Government Relationship

Use of our website, submission of a form, or engagement of our services does not create a partnership, joint venture, employment relationship, fiduciary relationship, or government agency relationship between Ocean Business Consulting Inc. and an applicant or client.

Ocean Business Consulting Inc. does not represent an applicant before a government agency, lender, financial institution, or funding organization unless such representation is expressly agreed in writing and is permitted by applicable law.

21. Governing Law

These Terms & Conditions are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Any disputes will be subject to the jurisdiction of the courts of Ontario unless otherwise required by applicable law or agreed in writing.

22. Severability

If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

23. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any applicable written service agreement, proposal, invoice terms, consent, or engagement document, constitute the applicable terms governing the relevant services.

Where a written service agreement contains terms that specifically differ from these general Terms & Conditions, the written service agreement will govern the specific engagement to the extent of the inconsistency.

We may update these Terms & Conditions periodically to reflect changes in our services, business practices, technology, or legal requirements.
